center;\"><strong>CONSTITUTION OF HUA YUAN GENERAL ASSOCIATION\u00a0<\/strong><\/p>\n<p><strong>NAME<\/strong><\/p>\n<ol>\n<li>This Society shall be known as the \u201cHua Yuan Association\u201dhere in after referred to as the \u201cAssociation\u201d.<\/li>\n<\/ol>\n<p>&nbsp;<\/p>\n<p><strong>PLACE OF BUSINESS<\/strong><\/p>\n<ol start=\"2\">\n<li>The place of business of the Association shall be at \u201d57 Genting Lane 01-00\uff0cS349564\u201d or such other address as may subsequently be decided by the Committee and approved by the Registrar of Societies. The Association shall carry out its activities only in places and premises which have the prior written approval from the relevant authorities, where necessary.<\/li>\n<\/ol>\n<p>&nbsp;<\/p>\n<p><strong>OBJECTS<\/strong><\/p>\n<p>3.1 The objects of the Association are:<\/p>\n<ol>\n<li>a) To assist members to integrate into the multi-racial society of Singapore.<\/li>\n<li>b) To facilitate better communication among members.<\/li>\n<li>c) To cultivate the spirit of mutual help and friendship among members.<\/li>\n<li>d) To promote friendship and interaction among members of the Association and those of other communities.<\/li>\n<li>e) To organize various social activities and functions for members and their immediate<\/li>\n<li>f) To promote commercial relationship between Singapore and the world; to connect and develop commercial platforms for members in Singapore and globally.<\/li>\n<\/ol>\n<p>3.2 In furtherance of the above objects, the Association may organize various activities for the benefit of the members and other communities. The Association may form groups to organize such activities e.g. Art Group, Children\u2019s Palace subject to the\u00a0approval of the relevant authorities, where necessary.<\/p>\n<p><strong>\u00a0<\/strong><\/p>\n<p><strong>MEMBERSHIP QUALITIFICATION AND RIGHTS<\/strong><\/p>\n<p>4.1 Singapore Citizens and Singapore Permanent Residents who are 18 years of age and above, with good characters are eligible to be Full Local Members.<\/p>\n<p>4.2 Chinese Citizens who hold long term student pass and \/ or professional working pass\u00a0and \/ or long term residence pass (Valid for 1 year and above)\u00a0are eligible to be Ordinary Local Members of the Association.<\/p>\n<p>4.3\u00a0Persons who hold valid identification documents and agree to abide by the rules of this Constitution are eligible to apply as local corporate members on behalf of their company. Local corporate members (or corporate representatives) are entitled to take part in events and activities organized by the Association in Singapore (a maximum of 3 people per event), and link their company website to the Association\u2019s website.<\/p>\n<p>4.4 Persons who hold valid identification documents and agree to abide by the rules of this Constitution and voluntarily pay membership dues to the Association can apply as Full International Members\u00a0Full Hua Yuan Bussiness Association Members. Full International Members\u00a0Hua Yuan Bussiness Association Members\u00a0(non-transferable) are entitled to a range of services provided by all branch associations and contact points of the World Federation of Huayuan Associations, including concierge service, information exchange and the sharing of resources.<\/p>\n<p>4.5 Persons who hold valid identification documents and agree to abide by the rules of this Constitution and voluntarily pay membership dues to the Association are eligible to apply as international corporate members\u00a0Hua Yuan Bussiness Association Corporate\u00a0Members\u00a0on behalf of their company. international corporate members\u00a0Hua Yuan Bussiness Association Members\u00a0\u00a0(or corporate representatives) are entitled to take part in events and activities organized by the Association worldwide (a maximum of 3 people per event), and link their company website to the Association\u2019s website. International corporate members (a maximum of 3 people per event) are entitled to a range of services provided by all branch associations and contact points of the World Federation of Huayuan Associations, including concierge service, information exchange and the sharing of resources.<\/p>\n<p>4.6 Ordinary local membership automatically expires when his\/her long term student pass and \/ or professional working pass\u00a0and \/ or long term residence pass is invalid.<\/p>\n<p>4.7 Ordinary local members, local corporate members\u00a0and international corporate members are entitled to take part in all activities organized by the Association, except that they have no\u00a0right to vote and to hold office in\u00a0the Association.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>APPLICATION FOR MEMBERSHIP<\/strong><\/p>\n<p>5.1 A person who wishes to join the Association shall submit his or her particulars\u00a0to the General Secretary\u00a0on a prescribed registration form.<\/p>\n<p>5.2 A new member shall be introduced by two existing local members. The membership shall be assessed and approved by the Committee. The membership division\u00a0or the executive secretary will inform the applicant on the results of his or her membership application\u00a0within 2 weeks processing time.<\/p>\n<p>5.3\u00a0New members shall pay entrance fee and annual membership fee to the Association within one month of the notification of acceptance from the Association as specified in this constitution. A\u00a0copy of the constitution\u00a0shall be furnished to every approved member upon payment of the entrance fee and annual fee.<\/p>\n<p><strong>TERMINATION OF MEMBERSHIP<\/strong><\/p>\n<p>6.1 The membership division\u00a0shall notify members who do not pay entrance fee and annual membership fee to the Association on time to settle the payment within one month of the notification. Those who fail to pay the fees within one month of the notification will be regarded as having forfeited their membership on their own accord and have never been accepted as members, unless doing so with reasons deemed as acceptable by the Committee. Those who forfeit their membership on their own accord shall return all belongings of the Association as requested.<\/p>\n<p>6.2 The Committee may recommend any member whose conduct is deemed to be injurious or prejudicial to the interest of the Association for expulsion at the Committee meeting with the approval of more than half of the members of the Committee present. Following the termination of membership for whatever reason, all outstanding amounts shall become immediately due and payable by the member.<\/p>\n<p>6.3 The member who is expelled shall have the right to appeal in the General Meeting of members on his expulsion. The decision of the General Meeting shall be final.<\/p>\n<p><strong>ENTRANCE FEES AND SUBSCRIPTIONS<\/strong><\/p>\n<p>7.1 Administration fee for a new member is S$10.<\/p>\n<p>7.2 Annual full\u00a0local membership fee is S$50 for every member, or a one-time payment of $300 for permanent membership. A new membership fee can be decided during the Annual General Meeting based on the financial situation of the Association.<\/p>\n<p>7.3 Annual membership fee is S$10 for every ordinary local member. A new membership fee can be decided during the Annual General Meeting based on the financial situation of the Association.<\/p>\n<p>7.4 Annual\u00a0membership fee is S$200 for every local corporate\u00a0member, or a one-time payment of S$1000 for permanent membership. A new membership fee can be decided during the Annual General Meeting based on the financial situation of the Association.<\/p>\n<p>7.5\u00a0A joining fee of S$500 and S$200 annual membership fee shall be paid by every full international member. A new membership fee can be decided during the Annual General Meeting based on the financial situation of the Association.<\/p>\n<p>7.6\u00a0A joining fee of S$2000 and S$500 annual membership fee shall be paid by every full international member. A new membership fee can be decided during the Annual General Meeting based on the financial situation of the Association.<\/p>\n<p>7.7 For retirees, the administration\u00a0fee for new membership is waived and the annual membership fee is reduced by half.<\/p>\n<p><strong>\u00a0<\/strong><\/p>\n<p><strong>GENERAL MEETINGS<\/strong><\/p>\n<p>8.1 The supreme authority of the Association is vested in a General Meeting of the members presided over by the President.<\/p>\n<p>8.2 General Meeting includes Annual General Meeting and Extraordinary General Meeting. An Annual General Meeting shall be held in April.<\/p>\n<p>8.3 On joint request by not less than 25% of the total voting membership, or when the Committee deems it necessary, an\u00a0Extraordinary General Meeting must be called. The notice shall be given to the General Secretary. The extraordinary General Meeting shall be convened within two months from receiving the request to convene such Meeting. No Committee member shall be elected or substituted by an Extraordinary General Meeting.<\/p>\n<p>8.4 If the Committee\u00a0does not convene an Extraordinary General Meeting within two months after receiving the notice, the members who requested for the Extraordinary General Meeting may convene the Extraordinary General Meeting by giving ten days\u2019\u00a0notice to voting members setting forth the business to be transacted and simultaneously posting the agenda on the Association\u2019s web page.<\/p>\n<p>8.5 At least two weeks\u2019\u00a0notice shall be given of an Annual General Meeting and at least seven days\u2019\u00a0notice of an Extraordinary General Meeting. Notice of meeting shall state the agenda, date, time and location of the meeting, and shall be posted on the Association\u2019s web page four days in advance of the meeting.<\/p>\n<p>8.6 Unless otherwise stated in this Constitution, voting at all General Meetings can be done by voting members or by proxy provided that a power of attorney is given to the General Secretary before the meeting. Each person is allowed to act as the proxy of only one voting member.<\/p>\n<p>8.7 The following points shall be considered at the Annual General Meeting besides other items posted in the agenda:<\/p>\n<ol>\n<li>a) The previous financial year\u2019s accounts and annual report of the Committee.<\/li>\n<li>b) Where applicable, the election of Committee members and Honorary Auditors for the following term.<\/li>\n<\/ol>\n<p>8.8 Any member who wishes to add an item on the agenda of a General Meeting may do so by giving notice to the General Secretary\u00a0one week before the meeting is to be held. The Committee has the right to decide whether an item suggested shall be included into the agenda. Members have the right to put forward in the General Meeting the items they have raised to the Committee\u00a0but failed to be accepted an call for a vote among the voting members present in the meeting. If more than half of the voting members present in the meeting think that the items proposed shall be included in the discussion, these items will be listed in the\u00a0agenda of the next General Meeting.<\/p>\n<p>8.9 At least 25% of the total voting membership,\u00a0or 30 voting members, whichever is the lesser, present at a General Meeting shall form a quorum. Proxies shall not be constituted\u00a0as part of the quorum.<\/p>\n<p>8.10 In the event of there being no quorum at the commencement of a General Meeting, the meeting shall be adjourned for half an hour and should the number then present be insufficient to form a quorum, those present shall be considered a quorum, but they shall have no power to amend any of the existing Constitution.<\/p>\n<p>&nbsp;<\/p>\n<p><strong><b>ELECTION, TERM AND AUTHORITY OF OFFICE FOR COMMITTEE MEMBERS<\/b><\/strong><\/p>\n<p>9.1 The administration of the Association shall be entrusted to a Committee consisting of the following to be elected at every alternate Annual General Meeting:<\/p>\n<p>A President<\/p>\n<p>An Acting President<\/p>\n<p>Four\u00a0Vice Presidents<\/p>\n<p>A General Secretary<\/p>\n<p>Three\u00a0Deputy General Secretaries<\/p>\n<p>A Treasurer<\/p>\n<p>A Deputy Treasurer<\/p>\n<p>Ten Ordinary Committee Members<\/p>\n<p>Total 22 Committee Members.<\/p>\n<p>The Committee\u00a0is entitled to appoint Affair Committee Members.<\/p>\n<p>9.2 Names for the above offices shall be proposed by and seconded by at the Annual General Meeting and election will follow on a simple majority vote of the members. All office-bearers, except the Treasurer and Deputy Treasurer may be re-elected to the same or related post for a consecutive term of office. The term of office of the Committee is two years.<\/p>\n<p>9.3 Election will be either by show of hands or by a secret ballot, subject to the agreement of the majority of the voting members present. In the event of a tie, the Chairman of the meeting shall have a casting vote.<\/p>\n<p>9.4 A Committee Meeting shall be held at least once every 2 months; it can be convened\u00a0over the Internet along with other regular matters of the association. The General Secretary shall be responsible for the recording, organizing and archiving of meeting minutes. The General Secretary shall provide a notice via the Internet informing all committee members of the agenda, date, time and location of the meeting seven days in advance. The President may call a Committee Meeting at any time by giving five days&#8217; notice through the Internet to the Committee Members. At least 1\/2 of the Committee Members must be present for its proceedings to be valid. If voting is in need, it may be either by show of hands or by a ballot. In the event of a tie, the Chairman of the meeting shall have a casting vote.<\/p>\n<p>9.5 Any member of the Committee absenting himself from three meetings consecutively without reasonable explanations shall be deemed to withdraw from the Committee and a successor may be co-opted by the Committee to serve until the next Annual General Meeting. Any changes in the Committee shall be notified to the Registrar of Societies within two weeks of the change.<\/p>\n<p>9.6 During the term of office of the Committee, should any Committee or harm the interest or reputation of the Association, and Extraordinary Committee Meeting shall be proposed by a Committee member and seconded by another Committee member and called by the President. If more than half of the Committee members present at the meeting no longer deem it proper for the Committee member to stay, the Committee would expel the Committee member from the Committee. This ex-member of the Committee has the right to appeal according to chapter 8.8 of this constitution within 2 weeks of the notice from the Committee and ask for a debate over the decision of the Committee in a General Meeting. The decision of the General Meeting will be final. If no appeal is made within specified period of time, the decision of the Committee meeting shall be final.<\/p>\n<p>9.7 The\u00a0duty of the Committee is to organize and supervise the day to day activities of the Association. The Committee may, form a sub-committee\uff0csuch as hua yuan arts group\uff0chua yuan bussiness association and so on, \u00a0to assist the Committee in its management of day to day activities. The selection of sub-committee member shall be decided by the Committee. The Committee may not act contrary to the expressed wishes of the General Meeting without prior reference to it and always remains subordinate to the General Meeting.<\/p>\n<p>9.8 The Committee has power to authorize the expenditure of a sum not exceeding S$15,000 per month from the Association&#8217;s funds for the Association&#8217;s purposes.<\/p>\n<p>&nbsp;<\/p>\n<p><strong><b>DUTIES OF OFFICE-BEARERS<\/b><\/strong><\/p>\n<p>10.1 The President shall chair all General and Committee Meetings. He shall also represent the Association in its dealings with external parties.<\/p>\n<p>10.2 The Vice-President shall assist the President and deputize for him in his absence.<\/p>\n<p>10.3 The General Secretary shall be responsible for the general administration of the Association, co-ordinate and supervise the operations and tasks of each groups. He shall keep all records, except financial, of the Association and shall be responsible for their accuracy. He will keep minutes of all General and Committee meeting. He shall maintain an up-to-date Register of Members at all times.<\/p>\n<p>10.4 The Deputy General Secretary shall assist the Secretary and deputize for the Secretary in his absence.<\/p>\n<p>10.5 The Treasurer shall keep all funds, collect and disburse moneys on behalf of the Association and shall keep an account of all money transactions and shall be responsible for their accuracy. He is authorized to expend up to S$2,000\/-per month for petty expenses on behalf of the Association. He will not keep\u00a0more than S$2,000\/-in the form of cash and money in excess of this will be deposited in a bank to be named by the Committee. The cheque from the Association is valid for withdrawals\u00a0from the bank only when it is duly signed by two persons from the following four members: the Treasurer, the President, the Acting President\u00a0and the General Secretary.<\/p>\n<p>10.6 The Deputy Treasurer shall assist the Treasurer and deputize for the Treasurer in his absence.<\/p>\n<p>10.7 Ordinary Committee Members shall assist in the general administration of the Association and perform duties assigned by the Committee from time to time.<\/p>\n<p>10.8 The Association reserves the right to nominate the Honorary President. There is no limitation in terms of the number of Honorary Presidents. Honorary Presidents may provide advice to the Committee on the development of the Association and the tasks of the Committee.<\/p>\n<p>10.9 The President in force for more than three terms shall become Permanent Hon. Consultant of the Association automatically.<\/p>\n<p><strong><b>AUDIT AND FINANCIAL YEAR<\/b><\/strong><\/p>\n<p>11.1 Two voting members, not being members of the Committee shall be elected as Honorary Auditors at each Annual General Meeting and will hold office for a term of one year only and shall not be re-elected for a consecutive term.<\/p>\n<p>11.2 They:<\/p>\n<ol>\n<li>Will be required to audit each year&#8217;s accounts and present a report upon them to the Annual General Meeting.<\/li>\n<li>May be required by the President to audit the Association&#8217;s accounts for any period within their tenure of office at any date and make a report to the Committee.<\/li>\n<\/ol>\n<p>11.3 The financial ear shall be from 1<sup>st<\/sup>\u00a0February to 31<sup>st<\/sup>\u00a0January.<\/p>\n<p>&nbsp;<\/p>\n<p><strong><b>TRUSTEES<\/b><\/strong><\/p>\n<p>12.1 If the Association at any time acquires any immovable property, such property shall be vested in trustees subject to declaration of trust.<\/p>\n<p>12.2 The trustees of the Association shall:<\/p>\n<ol>\n<li>Not be more than four and not less than two in number.<\/li>\n<li>Be elected by a General Meeting of members.<\/li>\n<li>Not affect any sale or mortgage of property without the prior approval of the General Meeting of members.<\/li>\n<\/ol>\n<p>12.3 The office of the trustee shall be vacated:<\/p>\n<ol>\n<li>If the trustee dies or becomes of unsound mind.<\/li>\n<li>If he is absent from the Republic of Singapore for a period of more than one year.<\/li>\n<li>If he is guilty of misconduct of such a kind as to render it undesirable that he continues as a trustee.<\/li>\n<li>If he submits notice of resignation from his trusteeship.<\/li>\n<\/ol>\n<p>If the trustee is guilty of misconduct of such a kind as to render it undesirable that he continues as a trustee, a General meeting shall be called to remove the trustee and appoint\u00a0someone else to fill the vacancy.<\/p>\n<p>12.4 Notice of any proposal to remove a trustee from his trusteeship or to appoint a new trustee to fill a vacancy must be given by posting it on the web page of the Association at least two weeks before the General Meeting at which the proposal is to be discussed. The result of such General Meeting shall then be notified to the Registrar of Societies.<\/p>\n<p>12.5 The address of each immovable property, name of each trustee and any subsequent change must be notified to the Registrar of Societies.<\/p>\n<p>&nbsp;<\/p>\n<p><strong><b>VISITORS AND GUESTS<\/b><\/strong><\/p>\n<p>13 Visitors and guests may be admitted into the premises of the Association but they shall not be admitted into the privileges of the Association. All visitors and guests shall abide by the Association&#8217;s rules and regulations.<\/p>\n<p>&nbsp;<\/p>\n<p><strong><b>PROHIBITIONS<\/b><\/strong><\/p>\n<p>14.1 Gambling of any kind, excluding the promotion or conduct of a private lottery which has been permitted under the Private Lotteries Act Cap 250, is forbidden on the Association&#8217;s premises. The introduction of materials for gambling or drug taking and of bad characters in to the premises is prohibited.<\/p>\n<p>14.2 The funds of the Association shall not be used to pay the fines of members who have been convinced in court of law.<\/p>\n<p>14.3 The Association shall not engage in any trade union activity as defined in any written law relating to trade unions for the time being in force in Singapore.<\/p>\n<p>14.4 The Association shall not attempt to restrict or interfere with trade or make directly or indirectly any recommendation to, any arrangement with its members which has the purpose or is likely to have the effect of fixing or controlling the price or any discount, allowance or rebate relating to any goods or service which adversely affect consumer interest.<\/p>\n<p>14.5 The Association shall not indulge in any political activity or allow its funds and\/or premises to be used for political purposes.<\/p>\n<p>14.6 The Association shall not hold any lottery, whether confined to its members or not, in the name of the Association or its office-bearers, Committee or members unless with the prior approval of the relevant authorities.<\/p>\n<p>14.7 The Association shall not raise funds from the public for whatever purposes without the prior approval in writing of the Head, Licensing Division, Singapore Police Force and other relevant authorities.<\/p>\n<p>&nbsp;<\/p>\n<p><strong><b>AMENDMENTS TO CONSTITUTION<\/b><\/strong><\/p>\n<p>15 No alteration or addition\/deletion to this Constitution shall be made except at an Annual General Meeting or Extraordinary General Meeting with the consent of two thirds of the voting members presents\u00a0at the meeting, and they shall not come into force without the prior sanction of the Registrar of Societies.<\/p>\n<p><strong><b>\u00a0<\/b><\/strong><\/p>\n<p><strong><b>INTERPRETATION<\/b><\/strong><\/p>\n<p>16 In the event of any question or matter pertaining to day-to-day administration which is not expressly provided for in this Constitution, the Committee shall have power to use their own discretion. The decision of the Committee shall be final unless it is reversed at a General Meeting of members.<\/p>\n<p>&nbsp;<\/p>\n<p><strong><b>DISPUTES <\/b><\/strong><\/p>\n<p>17 In the event of any dispute arising amongst members, they shall attempt to resolve the matter at an Extraordinary General Meeting in accordance with this\u00a0Constitution.
